Howse Williams Bowers ("HWB"), a leading Hong Kong independent law firm, advised Ample Capital Limited, the sole sponsor and Alpha Financial Group, the sole global coordinator and joint bookrunner, as the Hong Kong legal counsel, on the HK$57.6 million listing of the shares of WAC Holdings Limited ("WAC") on the GEM of the Hong Kong Stock Exchange. The shares commenced trading on the Hong Kong Stock Exchange on 17 September 2018.

WAC is a construction engineering consultant focusing on the area of comprehensive structural and geotechnical engineering. Its consultancy service includes (a) structural engineering, which involves loading calculation and stress designs; (b) geotechnical engineering, which involves calculation of earth surface conditions and assessment of risks posed by site conditions; (c) certain civil engineering practice areas; and (d) material engineering.

The HWB team was led by partner, Brian Ho. The team had lead responsibility on the drafting of prospectus and other legal documentation, providing advice on corporate and regulatory issues, communicating with the regulators and undertaking general transaction management.

Howse Williams Bowers ("HWB"), a leading Hong Kong independent law firm, advised Morris Holdings Limited ("Morris") in relation to the acquisition of the entire interest of Jennifer Convertibles, Inc. ("Jennifer Convertibles") at a consideration of US$35 million.

Morris is principally engaged in the manufacturing and sale of sofa, sofa covers and other furniture products. Jennifer Convertibles is an US incorporated company and is principally engaged in the retail business of sale of a complete line of furniture products and home furnishings in the eastern part of the US. It operates 17 retail outlets in the eastern part of the US, located in New York, New Jersey and Connecticut.

The HWB team was led by corporate partner, Brian Ho. The team was the lead counsel in the transaction and had taken lead responsibility for legal documentation on the acquisition and communication with the regulators and general transaction management while working closely with the US counsel relating to the US due diligence of Jennifer Convertibles.

Howse Williams Bowers ("HWB"), a leading Hong Kong independent law firm, advised Dafeng Port Heshun Technology Company Limited ("Dafeng Port Heshun") in relation to the acquisition of Jiangsu Hairong Dafeng Port Petrochemical Product Terminal Company Limited ("Jiangsu Hairong") at a consideration of RMB405.9 million. This transaction constituted a connected and very substantial acquisition to Dafeng Port Heshun under the Hong Kong Listing Rules.

Dafeng Port Heshun is principally engaged in the provision of integrated logistics freight services in Hong Kong, the Pearl River Delta and the Yangtze River Delta regions and the relevant supporting services. It also provides storage services for petrochemical products. Jiangsu Hairong is involved in the provision of harbour port terminal handling and berthing services in an integrated petrochemical terminal complex, being the only berthing dock for oil vessels in Dafeng Port.

The HWB team was led by corporate partner, Brian Ho. The team had lead responsibility for legal documentation on the acquisition and the resolving of corporate and regulatory issues, communication with the regulators and general transaction management.
