HWB advises on the acquisition of the controlling stake of "RoadShow"

Howse Williams Bowers ("HWB"), a leading Hong Kong independent law firm, advised Bliss Chance Global Limited ("Bliss Chance") in the acquisition of the controlling stake of RoadShow Holdings Limited (Stock Code: 888) ("RoadShow"), whose shares are listed on the Main Board of the Hong Kong Stock Exchange, from Transport International Holdings Limited (Stock Code: 62) as the Hong Kong legal counsel. The acquisition was in the sum of approximately HK$796 million. HWB also advises Bliss Chance on the unconditional mandatory cash offer for all the issued shares of RoadShow after completion of the acquisition. The financial adviser to Bliss Chance is Optima Capital Limited. The unconditional mandatory cash offer was closed on 12 December 2017.

RoadShow and its subsidiaries are principally engaged in the provision of media sales and design services and production of advertisements for transit vehicle exteriors and interiors, online portal, mobile apps, shelters and outdoor signages advertising businesses. They are also engaged in the provision of integrated marketing services covering these advertising platforms.

The HWB team was led by partners, Christopher Yu and Antony Yung and assisted by associate, Salina Cheung. The team had lead responsibility on legal documentation, providing advice on corporate and regulatory issues, communicating with the regulators and financial advisers and undertaking general transaction management.
